PLEASE READ THESE OFFICIAL RULES CAREFULLY BEFORE ENTERING. BY ENTERING (OR OTHERWISE PARTICIPATING) IN THE SWEEPSTAKES, YOU AGREE TO THESE OFFICIAL RULES, WHICH CREATE A CONTRACT. WITHOUT LIMITATION, SUCH CONTRACT INCLUDES GRANTS OF RIGHTS AND INDEMNITIES TO SPONSOR FROM YOU, A CLASS ACTION WAIVER, A LIMITATION OF LIABILITY, AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

1. General

The “Pantalones Tequila ‘A Lot Cooler’ Sweepstakes” (the “Sweepstakes”) is sponsored and administered by Alps W&S Opco LLC, 381 Park Ave South, 721, New York, NY 10016, USA (“Sponsor” or “Administrator”).  The Sweepstakes is subject to these official terms and conditions (“Official Rules”) and to all applicable federal, state and local laws. The odds of winning depend on the number of eligible entries received from eligible participants (the “Entrant” or “You”). Entrants who enter into the Sweepstakes agree to be bound by the Official Rules.

2. Eligibility

The Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia (excluding U.S. territories and possessions) who are at least 21 years old at the time of entry. Void where prohibited or restricted by law. The following individuals are not eligible to win the Sweepstakes: (a) employees, officers, owners, representatives, or agents of (i) Sponsor or any of its related companies, (ii) vendors of Sponsor, (iii) licensed alcoholic beverage distributors and retailers, (iv) Administrator, and, in each case, any of its or their respective affiliates, subsidiaries, advertising agencies or any other company or individual involved with the design, production, execution or distribution of the Sweepstakes (including the providers of prizes) and (b) the immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children) and household members (people who share the same residence at least three (3) months out of the year) of each such individual.

This Sweepstakes is only open to natural persons and the following are ineligible: corporations, businesses, non-profit organizations, governmental agencies or other entities. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein. No purchase or payment is necessary to enter or win the Sweepstakes.

3. Entry Period

The Sweepstakes begins at 9:00:00 a.m. Eastern Time (“ET”) on Wednesday, July 29, 2026, and ends at 1:00:00 p.m. ET on Friday, August 28, 2026 (the “Entry Period”).  Sponsor’s computer shall be the official timekeeper for all matters related to this Sweepstakes.

4. How to Enter

No purchase or payment is necessary to enter or to win. Enter via Instagram.* During the Entry Period: (i) follow the official @pantalonestequila Instagram account; (ii) follow the official @yeti Instagram account; (iii) “like” the official @pantalonestequila Sweepstakes post; and (iv) leave a comment on the Sweepstakes post describing how you would use the prize (each complete submission, an “Entry”).  All Entries must be received by 1:00:00 p.m. ET on Friday, August 28, 2026.

Following the official @pantalonestequila Instagram page prior to Sweepstakes Entry will serve as an age-gate to ensure you are 21 years or older. If you are NOT 21 years or older you will not be permitted to follow the official @pantalonestequila Instagram page, and therefore not be able to comment for entry into the Sweepstakes.  By submitting an Entry, you affirm that you are at least twenty-one (21) years of age. Sponsor reserves the right to verify the age of any entrant at any time.  Any Entry from a person under 21 years of age is void. A potential winner must furnish valid government-issued proof of age before any prize is awarded.

*You must be a registered member of Instagram in order to participate in the Sweepstakes or win a prize. Memberships on Instagram are free, but a compatible device is required to download the Instagram app and use the Instagram service.

By submitting an Entry, you agree that your Entry conforms to these Official Rules and that Sponsor, in its sole discretion, may declare your Entry void and disqualify you from the Sweepstakes if it believes that your Entry fails to conform, for any reason it deems appropriate in Sponsor’s sole discretion, to these Official Rules.

Limit one (1) Entry per person and per Instagram account for the Entry Period. No alterations or forged entries are permitted. Any attempt by any entrant to obtain more than the stated number of Entries by using multiple or different accounts, identities, or any other method will void that entrant’s Entries, and that entrant may be disqualified. A given person may only use one (1) Instagram account to participate in the Sweepstakes. All entries become the property of the Sponsor and will not be returned.

Proof of submission of an entry does not constitute proof of receipt of entry by Sponsor or its agents. Sponsor reserves the right to void all entries made through any third-party website or service, or through any robotic, automatic, mechanical, programmed or similar entry duplication method, and to disqualify any individual using such a website, service or entry method. Sponsor assumes no responsibility for lost, late, damaged, inaccessible, misdirected, illegible, incomplete or incorrect Entries or other Sweepstakes materials, all of which are void. Facsimiles or mechanical reproductions will not be accepted.

Sponsor is not responsible for technical difficulties, telephone or cell phone service disruptions or other equipment or service issues that might affect the ability of a website (or mobile website) visitor to enter on-line on Instagram or the ability of the Sponsor to notify the winners.  Sponsor assumes no responsibility for lost, late, damaged, inaccessible, misdirected, illegible, incomplete, incorrect Entries or other Sweepstakes materials, all of which are void.  Facsimiles or mechanical reproductions will not be accepted.  No alterations or forged Entries are permitted.

If you participate via mobile device, you will be charged for all data usage on your handset according to the terms of your plan with your cellular provider. Please consult your wireless service provider regarding your pricing plan. Not all cellular providers carry the service necessary to participate. Wireless service and internet access may not be available in all areas.

5. Selection of Winners; Random Selection

A total of five (5) grand prize winners will be selected in a single random drawing (“Potential Winners”) from among all eligible Entries received during the Entry Period. The drawing will be conducted by the Sponsor, acting as Administrator, on August 28, 2026 (“Winner Selection Date”), and Sponsor’s decisions will be final and binding in all matters relating to the Sweepstakes. Odds of winning depend on the total number of eligible entries received. The awarding of a Prize (as defined below) is subject to verification of each potential winner’s eligibility.

The Potential Winners will be notified by direct message via Instagram and by a reply to the Potential Winner’s comment on the Sweepstakes post, on or around the Winner Selection Date. Each Potential Winner must respond and furnish valid proof of age in a form prescribed by Sponsor (for example, a copy of a valid driver’s licence or passport) within five (5) business days of the date of first notification attempt. Potential Winner must follow the Prize claim instructions provided as part of the initial notification and any subsequent claim instructions, otherwise the Prize will be forfeited in its entirety.  If any prize notification is returned as undeliverable or is not answered, or if a Potential Winner fails to return the prize claim documents within the stated time period, or if a Potential Winner cannot accept the prize as stated, or if Sponsor, in its sole discretion, deems a Potential Winner ineligible to receive the prize for any reason, the corresponding prize will be forfeited in its entirety and awarded (time permitting) to an alternate winner in a random drawing from among the remaining eligible entries received.

6. Prize

Five (5) grand prizes will be awarded. Each grand prize consists of: one (1) Pantalones Tequila-branded YETI cooler, one (1) YETI pitcher, one (1) YETI cocktail shaker, one (1) YETI flask, two (2) Pantalones Tequila baseball caps, and two (2) Pantalones Tequila t-shirts (collectively, the “Prize”).

The approximate retail value (“ARV”) of each Prize is $500, exclusive of any taxes. Total approximate ARV of all five (5) Prizes is $2,500.  Actual value may vary. Sponsor is not responsible for, and the winners will not receive any difference between the actual value and ARV of a Prize.

The Prizes offered and awarded are not redeemable for cash. Sponsor reserves the right to substitute the Prize for a different item of the same approximate retail value. Additional terms and conditions may apply Prize details not specified herein shall be determined solely by Sponsor. Prizes are awarded “as is” with no warranty or guarantee, either express or implied. No alcohol is awarded as, or as any part of, any prize.

Sponsor is not responsible for a lost, stolen or mutilated prize once delivered, in which event the prize is forfeited in its entirety, Sponsor will have no obligation to award compensation in lieu thereof, and no substitution will be provided except in Sponsor’s sole discretion. In the event that an insufficient number of eligible entries are received to award all prizes, Sponsor is not obligated to award the unclaimed prizes and no additional random drawings will take place. Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize for one of equal or greater value if it should become unavailable for any reason.

Sponsor will ship each prize to the winner’s verified U.S. mailing address at Sponsor’s expense. Sponsor will not ship to P.O. boxes or to addresses outside the fifty (50) United States and the District of Columbia.

All federal, state and local taxes on prize are the winner's sole responsibility. By accepting the Prize, winner waives the right to assert as a cost of winning said Prize, any and all costs of redemption or travel to redeem said Prize and any and all liability that might arise from redeeming or seeking to redeem said Prize.

 

7. Sweepstakes Entries

All materials, documents, information and data posted by entrants in connection with the Sweepstakes, including the Entry, are the property of Sponsor, will not be returned and may not be acknowledged. Entries must adhere to the entry guidelines indicated herein, as determined by Sponsor in its sole discretion. By entering the Sweepstakes, entrants represent and warrant that their Entry does not infringe upon the rights of any other party, including but not limited to any intellectual property, trade secret or other proprietary rights of any other party. By submitting an Entry, entrant further represents and warrants that any person tagged or referenced in his or her Entry has given his or her express written consent to the tag and to the use contemplated by these Official Rules.

Submission of an Entry grants Sponsor the right to use, publish, adapt, edit and/or modify the Entry in any way, in whole or in part, and to use such Entry, and any ideas or concepts contained therein, in commerce and in any and all media now known or hereafter discovered, worldwide, without limitation or compensation to the entrant and without right of notice, review or approval. Such use includes Sponsor posting the Entry on the Pantalones Tequila (@pantalonestequila) Instagram account, the YETI (@yeti) Instagram account and/or in a gallery on pantalonestequila.com or elsewhere (and, in all cases, such posting shall not constitute any representation of Sweepstakes eligibility or selection of entrant as a potential prize winner). Submission of an Entry further constitutes the entrant’s consent to irrevocably assign and transfer to Sponsor all right, title and interest in and to the Entry, including all intellectual property and proprietary rights worldwide, subject only to those rights reserved by Instagram as the operator of the platform. Any content, material or information included in an Entry shall not be confidential or proprietary and shall not contain any trade secret. Any Entry that contains third party artistic works, copyrights, trademarks, trade names, logos or similar brand identifying marks, trade secrets or other proprietary rights will not constitute a valid Entry.

Content standards. Comments containing any lewd or sexually suggestive gesture as determined by Sponsor in its sole discretion will be disqualified. No comment shall (a) depict or reference persons consuming alcoholic beverages excessively or in an irresponsible manner; (b) depict or reference persons conducting themselves in an inappropriate manner; (c) contain material that would imply that the consumption of alcoholic beverages is acceptable before or while operating machinery, driving a vehicle or undertaking any other activity that requires a high degree of alertness or physical coordination; (d) contain any material that would degrade or demean the human form, image or status of women, men or the members of any group based on race, religion, ethnic background, sexual orientation or any other protected status; (e) include a reference to any person who appears to be under 21 years of age or appeal to anyone under the legal drinking age; (f) include any commercial solicitation or promotional materials, websites, contact information or personally identifiable information; (g) make reference to any commercial or corporate advertising, including corporate logos, brand names (other than those owned or licensed by Sponsor) or slogans; (h) make political or religious statements; (i) contain statements or images relating to public officials, the armed forces of the United States, local, state or federal governments or flags, emblems, seals, coats of arms, crests or insignia; or (j) refer to or depict any recognizable features of any retailer of alcohol beverages. Obscene, provocative, lewd or otherwise objectionable content, or content that reflects poorly on the Pantalones Tequila brand, the YETI brand or the Sponsor, will not be considered, and the determination of the appropriateness of any comment is at the sole discretion of the Sponsor.

8. General Conditions

a.     Entry in the Sweepstakes constitutes an entrant’s full and unconditional agreement to abide by and accept the terms and conditions of these Official Rules. All participation in this Sweepstakes shall be governed by these Official Rules. By participating, you agree to be bound to the decisions of the Sponsor (and its authorized representatives), which are final and binding in all matters.

 

b.     By entering, Entrant hereby agrees to indemnify and hold Sponsor and Instagram harmless from and against any third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses, including attorney fees and court costs, arising out of any breach or alleged breach of any of the warranties and representations set forth above.

 

c.      In exchange for the right to participate in the Sweepstakes, each Entrant for himself or herself and his or her heirs, personal representatives and assigns shall voluntarily and knowingly completely and forever release, waive and discharge Sponsor, the Prize providers, distributors, and promotional and other vendor agencies, their respective parent companies, affiliates, subsidiaries, service agencies, independent contractors, and the officers, directors, employees, agents, and representatives of any of the above organizations from and against any and every kind of claim, demand, injury, costs, attorney fees, right, liability or cause of action or other liabilities of whatever kind or nature, known or unknown, absolute or contingent, and whether or not fixed, which the Entrant ever had, now has or might in the future have arising in any way or related to the Sweepstakes, including, but not limited to: Entrant’s participation in the Sweepstakes; the Entry; use of Entrant’s name, likeness, biographical information, signature, image or likeness; Entrant’s receipt, use or inability to use any Prize or part thereof, including but not limited to injury or loss sustained in any travel related to the Prize(s); financial claims; physical and/or emotional injury; and/or any other legal claim that may arise, whether under contract, tort, warranty or any other theory or claim.

 

d.     The value of the Prize won by the winner under the Sweepstakes may be taxable as income to the winner. Winner is solely responsible for any and all taxes and/or fees associated with the Prize. Upon receipt of the Prize, the winner shall be required to comply with any and all applicable federal, state and local law, rules and regulations.

 

e.     Sponsor shall have the right, in its sole discretion, to abbreviate, modify, suspend, cancel or terminate the Sweepstakes at any time without notice or further obligation.

 

f.      This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Facebook, Instagram, BlueSky, Meta, X (formerly known as Twitter), Mastodon, YouTube, Google or any other social media or similar platform where this Sweepstakes may be promoted, advertised or otherwise used to disseminate information relating to the Sweepstakes. Participant understands that all information is being provided to Sponsor and not to Facebook, Instagram, BlueSky, Meta, X (formerly known as Twitter), Mastodon, YouTube, Google or any other social media where this Sweepstakes may be promoted, advertised or otherwise used to disseminate information relating to the Sweepstakes. Sponsor is not responsible for practices, terms or actions taken by any of these or other social media and web services sites. You understand that you are required to comply with terms and conditions of those social media platforms.

 

g.     This Sweepstakes is not run with, by, or in conjunction with YETI Coolers, LLC or any other company, business or vendor associated with any portion of the Prize. Sponsor is in no way affiliated with, endorsed by, authorized by, sponsored by, or in any way officially connected with YETI Coolers, LLC or any other company, business or vendor associated with any portion of the Prize.

 

h.     In the event of a dispute, online entries (including entries made via mobile device) will be deemed made by the authorized account holder of the Instagram account used to post the comment. The winner will be required to prove, to Sponsor’s satisfaction, that he or she is the owner of the Instagram account used to post the winning comment. Sponsor and its agencies are not responsible for lost, late, damaged, illegible, misdirected or incomplete entries, or for online entries not received due to lost, failed, delayed or interrupted connections or miscommunications, or to other electronic malfunctions, delays or errors of any kind in the transmission or receipt of online entries (including but not limited to filtering or other operation of the functionality of a social media platform). Sponsor is not responsible for incorrect or inaccurate entry information, whether caused by entrants or by any human or technological error that may occur in the processing of online entries.

 

i.       Sponsor is not responsible for any typographical or other error in the printing of this offer, administration of the Sweepstakes, or in the announcement of the Prize, including erroneous appearance of qualification for the Prize, and under no circumstances will more than the stated number of Prizes be awarded. Sponsor reserves the right, in its sole and absolute discretion, to modify, cancel, or suspend this Sweepstakes, or to amend the Official Rules at any time, without prior individual notice, should any factor interfere with the administration, security, or proper play of this Sweepstakes as contemplated by these Official Rules. If Sponsor in its discretion elects to so abbreviate the Sweepstakes, Sponsor reserves the right, but not the obligation, to award the prize from among all eligible entries received to date.

 

j.       Sponsor reserves the right in its sole discretion to disqualify any individual who: (i) tampers or attempts to tamper with the operation of the Sweepstakes, including the Entry process or the Sponsor’s social media accounts or website; (ii) violates the Official Rules; or (iii) acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.  CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE ANY WEBSITE (INCLUDING ANY MOBILE WEBSITE) OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Privacy

Information submitted in connection with the Sweepstakes will be treated in accordance with these Official Rules and the Sponsor’s Privacy Policy and Terms of Use, which may be amended from time to time and are currently located at https://business.flaviar.com/privacy and https://business.flaviar.com/terms, respectively. By submitting an Entry, you agree to be contacted by Sponsor with Sweepstakes related communications. The information you provide will be used as stated herein and the aforementioned policies, and for purposes of this Sweepstakes.

11. Publicity Release.  

By participating in the Sweepstakes, you grant (and agree to confirm that grant in writing, if necessary) Sponsor or Sponsor’s authorized representatives the right to use your Entry, name, biographical information, likeness, image, voice, and statements for promotion, trade, commercial, and publicity purposes, at any time or times, in all media now known or hereafter discovered, including television, internet and social media, worldwide, without notice, review or approval and without additional notice, compensation or consent except where prohibited by law. Submission of content to be posted online constitutes permission for same.

12. Winners List

For the Instagram handles and states of residence of the winners, send an email to howdy@pantalonestequila.com within thirty (30) days of the end of the Entry Period.  The email should contain the following phrase in the “subject” field: “Pantalones Tequila “A Lot Cooler” Sweepstakes — Winners List”.

13. Severability

The invalidity, illegality, or unenforceability of any provision of these Official   Rules shall in no way affect the validity, legality, or enforceability of any other provision hereof. Any invalid, illegal, or unenforceable provision shall be deemed severed from these Official Rules and the balance of these Official Rules shall be construed and enforced as if these Official Rules did not contain such invalid, illegal, or unenforceable provision.

14. Disputes/Limitation of Liability/Choice of Law

EXCEPT WHERE PROHIBITED, EACH   ENTRANT AGREES THAT: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS SWEEPSTAKES OR ANY PRIZE AWARDED SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, AND EXCLUSIVELY BY STATE OR FEDERAL COURTS SITUATED IN NEW YORK, (2) NEW YORK LAW, WITHOUT REFERENCE TO CHOICE OF LAW RULES, GOVERNS THE SWEEPSTAKES AND ALL ASPECTS RELATED THERETO, (3) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, BUT IN NO EVENT ATTORNEYS’ FEES, (4) NO PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR OTHER DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, MAY BE AWARDED (COLLECTIVELY, “SPECIAL DAMAGES”), AND (5) ENTRANT HEREBY WAIVES ALL RIGHTS TO CLAIM SPECIAL DAMAGES AND ALL RIGHTS TO SUCH DAMAGES MULTIPLIED OR INCREASED.
